Introduction

The Seychelles is a group of islands in the Indian Ocean, off East Africa. The largest island is Mahé, which houses about 90% of the population and is home to the capital Victoria. It was under British rule from 1810-1976.

The Seychelles has a population of around 99,000 (2021), descended primarily from French settlers and East Africans, as well as traders from China and India.

Powers of Company

A company incorporated in the Seychelles has the same powers as a natural person.

Language of Legislation and Corporate Documents

English or French. When other languages are used, an English or French translation must be attached.

Registered Agent & Office

A local registered agent and a local registered office are required.

Company Name

Name can be in any language, but where the name is not in the English or French language a translation of the name shall be given to the Registrar.

Disclosure of Beneficial Ownership

Companies are required to keep a Register of Beneficial Owners (RBO) at its registered office. Beneficial owners’ information is required to be submitted by the registered agent for filing onto the Seychelles Government Database. Such information is not open to public access.

There is no minimum paid-up capital requirement.

Taxation

International Companies are exempted from local taxation for offshore income.

License Fees

Payment should be made on or before the annual anniversary date of the company’s incorporation (usually 1-2 months in advance).

Accounting Records

Lodge accounting records at its registered office bi-annually. Annual financial summary required for large companies and non-large non-holding companies.

Directors

Minimum of one director. May be a natural person or body corporate, of any nationality and need not be resident in the Seychelles.

Company Secretary

Not mandatory, but customary.
